Acceptance of these Terms
By creating an account, authorising a cycle, supplying goods or otherwise using the Treviya platform at treviya.com, you accept and agree to be bound by these Terms of Service. If you do not agree, do not use the platform.
Where you access the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Supplementary agreements apply to specific relationships, the Participant Master Terms, the Supplier Master Terms, the Logistics Partner Master Terms and the Institutional Master Services Agreement. Where a supplementary agreement conflicts with these Terms, the supplementary agreement prevails for its subject matter.
Definitions
Terms in initial capitals have the meanings set out below, in the supplementary agreements or in the platform glossary at /academy/glossary.
- Platform, the Treviya website and all associated services.
- Cycle, a fully-paid bulk commerce operation on a specific lot of physically-deliverable goods.
- Authorisation, a member's signed commitment to participate in a specific cycle.
- Allocation, the member's portion of a cycle, denominated in boxes.
- Brief, the public cycle document that carries the specification, fee stack, supplier card and terms.
- Ledger, the append-only record of cycle events.
- Settlement, the itemised close of a cycle.
- User, any person or organisation using the platform.
Account, verification and access
Platform accounts are available to verified individuals and organisations aged 18 or over in jurisdictions not subject to applicable sanctions. Account opening requires identity verification (KYC) or entity verification (KYB) as documented in the KYC framework.
You must keep your credentials confidential, enable mandatory two-factor authentication and notify Treviya immediately of any suspected unauthorised access to your account. You are responsible for actions taken through your account.
Treviya may suspend or terminate accounts where required by law, regulation, sanctions screening or breach of these Terms. Account closure procedures are documented at /faq.
What the platform does and does not do
Treviya is a commerce platform for physically-deliverable goods. Members authorise participation in specific cycles. Each cycle is a real bulk procurement of real goods moving through a real supply chain. Cycles may authorise resale through a curated partner network or physical delivery to the member.
Treviya is not an investment platform. The platform does not offer investment products, securities, derivatives or financial instruments. It does not promise returns, guarantee outcomes or provide financial advice. Cycle outcomes reflect actual commerce, supplier performance, channel demand, logistics execution and market conditions, documented line-by-line on the settlement statement.
The platform is not a payment institution, e-money issuer or money remitter. Credit balances represent pre-funded obligations to Treviya and are held on trust with a regulated custodian as documented in the Trust architecture.
Cycle participation and authorisation
Each cycle brief published on the platform sets out the specification, the fee stack, the supplier card, the margin model (conservative, base, optimistic), the channel mix, the timeline, the applicable supplementary terms and the authorisation window.
Authorisation is a signed commitment to participate at the stated allocation and path (resale or delivery). Authorisations are recorded on the ledger. You may withdraw an authorisation at any time before the cycle fills. Once the cycle fills and the bulk order is placed with the supplier, the authorisation binds for that cycle.
Cycle outcomes are not guaranteed. Outcomes depend on supplier performance, channel demand, logistics execution and market conditions. Cycles may settle above, within or below the base-case model disclosed on the brief. Cycles may be cancelled before fill, in which case reserved credits return in full.
Fees and charges
All fees that affect a cycle are disclosed on the brief before authorisation and itemised on the settlement statement at close. The typical fee structure is published at /pricing. Actual percentages vary by category, geography and partner mix.
There are no subscription fees, no fees to open or maintain an account and no fees for accessing public platform content.
Fees are denominated in credits. One credit is equivalent to one unit of the reference currency stated on the brief. Credit top-ups and withdrawals may incur third-party fees (bank wire, card processing or stablecoin network fees), these are disclosed at the point of transaction.
User content and licences
You retain ownership of content you submit to the platform (supplier applications, account documents, dispute evidence, communication messages). You grant Treviya a non-exclusive, worldwide, royalty-free licence to use, reproduce and display your content to the extent necessary to operate the platform and meet regulatory obligations.
You warrant that content you submit does not infringe any third-party right and complies with applicable law.
Prohibited conduct
You must not:
- use the platform for any unlawful purpose;
- circumvent sanctions screening or AML controls;
- attempt to access another user's account or records;
- submit false or misleading information in the KYC / KYB process;
- interfere with platform security, availability or integrity;
- scrape, reverse-engineer or data-mine non-public platform data;
- use Treviya intellectual property outside these Terms;
- offer or solicit goods whose origin, composition or intended use is restricted under the category restrictions applied at gate one of curation.
Intellectual property
The platform, the Treviya name and logo, the platform copy, design system and documentation are the property of Treviya Holdings and its licensors. Nothing in these Terms transfers ownership of Treviya intellectual property to you.
You may view, download and print the public pages of the platform for personal, non-commercial reference. Commercial republication of platform content requires written permission.
Disclaimer of warranties
The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Treviya disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Treviya does not warrant that the platform will be uninterrupted or error-free, that defects will be corrected or that the platform is free of viruses or other harmful components. The public status page and incident history at status.treviya.com documents platform availability and incidents.
Physical goods cycles depend on third-party suppliers, carriers, hubs and partner channels. Treviya curates and monitors these counterparties under the six-gate framework and partner scorecards, but does not warrant their performance on any specific cycle.
Limitation of liability
To the fullest extent permitted by applicable law, Treviya's aggregate liability under or in connection with these Terms (whether in contract, tort, breach of statutory duty or otherwise) is limited to the greater of (a) the fees paid by you to Treviya in the twelve months preceding the event giving rise to the claim and (b) £500.
Treviya is not liable for indirect, incidental, special, consequential or punitive damages or for any loss of profits, revenue, data or business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or breach of non-excludable statutory rights.
Indemnity
You agree to indemnify and hold harmless Treviya and its affiliates, officers, employees and agents from and against any claim, liability, damage, loss or expense (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the platform or your violation of any applicable law or third-party right.
Termination
You may close your account at any time through the account settings page. Active cycles must complete first or be transferred to another eligible member where the supplementary terms permit.
Treviya may suspend or terminate your access immediately in cases of material breach, regulatory instruction, sanctions finding or risk to the platform or other users. Where practicable, Treviya will provide prior notice.
Termination does not release either party from obligations accrued before termination, including payment obligations, indemnities and record-retention requirements. Clauses which by their nature should survive termination (including Disclaimer, Limitation of liability, Indemnity, Governing law and Dispute resolution) do so.
Changes to these Terms
Treviya may update these Terms from time to time. Material changes will be communicated to account holders at least 30 days before the effective date. Non-material changes take effect on publication. Prior versions are retained and available on request.
Governing law and dispute resolution
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of England and Wales have exclusive jurisdiction over disputes arising out of or in connection with these Terms, except where applicable mandatory consumer-protection law provides otherwise.
Before commencing formal proceedings, the parties agree to attempt resolution through Treviya's in-platform dispute flow and, where applicable, independent mediation per the supplementary Master Terms.
